How to Register a US Company from Sri Lanka: Step-by-Step Guide (2026)

First: What Kind of US Company Should You Form?

The right structure for almost every Sri Lankan freelancer, developer, designer, or founder is a US Limited Liability Company (LLC).

Not a C-Corp. Not an S-Corp. Not a sole proprietorship. An LLC.

Here's why:

  • Simpler to maintain — no board meetings, no complex governance requirements

  • Pass-through taxation — by default, the LLC itself doesn't pay US federal income tax; profit and loss pass through to you personally

  • Flexible ownership — you can own 100% as a single member, add partners later, or convert to a corporation if you take investment

C-Corps (Delaware corporations) make sense if you're raising venture capital from US investors. For the vast majority of Sri Lankan founders running service businesses, SaaS products, e-commerce stores, or freelance agencies — an LLC is the right choice, every time.

For most Sri Lankan founders: start with Missouri. It's the fastest at the same $160 price as New Mexico. If privacy is your priority, Wyoming is worth the extra $100 one-time — your name never appears in any public state database.

Avoid Delaware unless a US investor specifically requires it. Delaware has a minimum $300/year franchise tax regardless of revenue — expensive and unnecessary for founders with no US physical operations. Avoid California, New York, and Florida for the same reason: high annual fees with no benefit for your use case.

Step 1: File Your Articles of Organization

This is the document that legally creates your LLC. You file it with the Secretary of State in your chosen state. It includes your LLC's name, its purpose (typically "to engage in any lawful business activity"), and the name of your registered agent.

The filing is done electronically. No physical signatures required in most states. No notarization. No apostille. You submit it online, pay the state filing fee (included in Entryly's package), and wait for the state to process and issue your formation certificate.

Step 2: Appoint a Registered Agent

Every US LLC is legally required to have a registered agent — a person or company with a physical US address in the state where you're formed, available during business hours to receive official correspondence (lawsuits, IRS notices, state documents).

As a Sri Lankan founder, you cannot be your own registered agent. You need to appoint a registered agent service. US Compliance: What You Must Do Every Year
