Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client," "you") and Entryly Solutions LLC ("Entryly," "we," "us"), governing your access to and use of entryly.net and all services offered therein. By creating an account, placing an order, or using any Entryly service, you agree to be bound by these Terms.

Please read these Terms carefully. If you do not agree, do not use our services.

1. Definitions

  • "Services" — US LLC formation and filing, EIN (Employer Identification Number) acquisition, registered agent services, virtual address services, annual tax filing and compliance, Stripe payment processing onboarding facilitation, bank account opening facilitation, and any other services described on entryly.net.
  • "Client" / "you" — Any individual, business entity, or legal representative who creates an account or purchases Services from Entryly.
  • "Application" — The formation order or service request submitted by the Client through the Entryly platform.
  • "Government Fees" — Fees paid directly to state filing offices, the IRS, the USPTO, or other government authorities on the Client's behalf.
  • "Third-Party Platforms" — Independent entities including but not limited to Stripe, Mercury Bank, Relay Bank, and state government portals, whose approval decisions are independent of Entryly.

2. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Have the legal authority to form an LLC or act on behalf of the entity being formed
  • Not be located in a country subject to US economic sanctions or on any US government restricted entity list
  • Provide accurate, truthful, and complete information throughout your application
  • Operate a business that is legal under applicable US federal and state law

3. Scope of Services

3.1 What Entryly Provides

  • Preparation and electronic submission of state LLC Articles of Organization
  • IRS Form SS-4 preparation and EIN acquisition coordination
  • Registered Agent and/or Virtual Address services (if purchased)
  • Annual report filing and compliance reminders (if purchased)
  • Facilitation of Stripe payment processor onboarding (guidance, documentation review, and application submission)
  • Facilitation of US business bank account applications (guidance and referral to partner institutions)
  • Access to the Entryly client dashboard for document management and status tracking

3.2 What Entryly Does Not Provide

  • Legal advice: Entryly is not a law firm and does not provide legal advice. Services are administrative and document preparation in nature.
  • Tax advice: Entryly does not provide tax planning, tax optimization, or accounting advice. Annual filing services are administrative compilations, not tax advisory.
  • Financial advice: Entryly does not advise on investment, financial planning, or business structure optimization.
  • Approval guarantees: Entryly cannot and does not guarantee approval by any Third-Party Platform (Stripe, Mercury, Relay, etc.). These platforms conduct independent reviews based on their own risk and compliance policies.

3.3 Service Timelines

Estimated timelines are provided as guidance only and are subject to government processing times:

  • LLC Formation: 3–15 business days depending on state (standard) or 1–3 business days (expedited, where available)
  • EIN Acquisition: 1–5 business days for online/fax methods; 4–6 weeks if mailed by IRS
  • Stripe Onboarding Review: Typically 1–7 business days (Stripe's timeline, not guaranteed)

4. Client Obligations

You agree to:

  • Provide accurate, complete, and current information in your application and at all times during service delivery
  • Promptly respond to any Entryly compliance or verification requests within 48 hours; failure to respond may result in delays or service suspension
  • Ensure that your intended business activity is legal under applicable US and local laws
  • Not misrepresent your business model, revenue type, or intended use of any Third-Party Platform
  • Not use Entryly services to facilitate fraud, money laundering, tax evasion, or any illegal activity
  • Verify that your business model complies with Stripe's and other platforms' acceptable use policies before purchasing facilitation services
  • Maintain the confidentiality of your account credentials and notify us immediately of any unauthorized access

5. Fees, Payment & Billing

5.1 Pricing

All prices are listed in US Dollars (USD) unless otherwise stated. Prices may change without notice for new orders; prices are locked at the time of checkout for existing orders.

5.2 Government Fees

Quoted service packages include our service fee plus applicable Government Fees paid to state and federal authorities. Government fees are non-refundable once disbursed, regardless of outcome.

5.3 Accepted Payment Methods

Entryly accepts credit/debit cards (via Stripe), bank transfers, and cryptocurrency payments (where offered). All card payments are processed securely by Stripe; Entryly never stores raw payment card information.

5.4 Failed Payments

If a payment fails, service initiation will be paused until payment is resolved. Entryly is not responsible for delays caused by payment failure.

5.5 Annual & Subscription Services

Annual services (Registered Agent, Virtual Address, Annual Reports) auto-renew annually unless cancelled at least 30 days before the renewal date. You will receive a renewal reminder by email at least 14 days in advance.

6. Refund Policy

Refunds are governed by our Refund Policy, which is incorporated into these Terms by reference. Key provisions include:

  • 100% Refund is available only if Entryly fails to deliver the EIN within 10 business days due to Entryly's error, or if the LLC filing is rejected due to a demonstrable Entryly error.
  • Non-refundable circumstances include Stripe account denials, bank rejections, IRS processing delays, client-provided inaccuracies, and change of mind after processing commences.
  • Government fees are never refundable once remitted to government authorities.
  • Chargebacks initiated without first contacting support will result in immediate account suspension and service termination.

7. Stripe Onboarding — Important Disclosures

READ THIS SECTION CAREFULLY BEFORE PURCHASING STRIPE ONBOARDING SERVICES

  • Independent Review: Stripe independently evaluates every account against its own risk policies, acceptable use policies, and underwriting criteria. Entryly facilitates this process but has no ability to influence or override Stripe's decisions.
  • No Approval Guarantee: Purchasing Entryly's Stripe facilitation service does not guarantee Stripe account approval. Entryly's fee covers the preparation and submission work, not the outcome.
  • Prohibited Businesses: Stripe does not support certain business types. Clients are solely responsible for confirming that their business model complies with Stripe's Restricted Businesses policy before purchase. Common non-supported models include: unlicensed money transmission, predatory lending, pyramid/MLM structures, certain financial instruments, adult content, and businesses operating in Stripe-restricted territories.
  • Website Requirements: Stripe requires your website to be publicly accessible, clearly describe your products/services and pricing, include a refund/return policy, include contact information, and include terms of service. Failure to maintain a compliant website may result in Stripe denial or account termination after approval.
  • Ongoing Compliance: Even after approval, Stripe may restrict or terminate your account at any time based on changes in your business model, chargeback rates, risk indicators, or regulatory changes. Entryly has no liability for post-approval Stripe decisions.

8. Limitation of Liability

To the maximum extent permitted by applicable law, Entryly's total liability to you for any claim arising out of or related to these Terms or our Services shall not exceed the total service fees paid by you for the specific service giving rise to the claim in the 3 months preceding the event.

Entryly is not liable for:

  • Rejection, delay, or action by any government agency (IRS, Secretary of State, etc.)
  • Approval or rejection decisions by Stripe, Mercury, or any other Third-Party Platform
  • Financial losses resulting from your use (or inability to use) a payment processor or bank account
  • Indirect, incidental, special, punitive, or consequential damages of any kind
  • Loss of profits, revenue, goodwill, or business opportunity
  • Your failure to provide accurate information or to respond to compliance requests in a timely manner
  • Third-party service interruptions, outages, or changes to third-party policies

9. Nature of Service — Not Financial Services

All amounts paid to Entryly Solutions LLC represent professional service fees for document preparation, filing coordination, and business service facilitation. Entryly does not:

  • Hold, pool, or transmit client funds on behalf of third parties
  • Operate as a Money Services Business (MSB), money transmitter, or financial institution
  • Provide banking, lending, investment, or insurance services
  • Act as a payment facilitator, payment aggregator, or payment processor

Government fees disbursed by Entryly on your behalf are part of the contracted service scope and are not a remittance, escrow, or pass-through of client funds.

10. Intellectual Property

All content, trademarks, logos, software, and materials on entryly.net are the intellectual property of Entryly Solutions LLC or its licensors. You may not reproduce, distribute, modify, or create derivative works without our express written consent.

Documents prepared and filed on your behalf (Articles of Organization, EIN confirmation letters, etc.) are yours. Entryly retains no ownership interest in your LLC or its associated documents.

11. Account Suspension & Termination

Entryly reserves the right to suspend or terminate your account and/or services without notice if:

  • You provide false, misleading, or fraudulent information
  • You initiate an unjustified chargeback or payment dispute
  • Your business or activities violate applicable laws, Stripe's policies, or our Acceptable Use Policy
  • You fail to respond to compliance requests within 48 hours on two or more occasions
  • We are required to do so by law enforcement or regulatory authorities

Upon termination, your access to the dashboard and any in-progress services will be suspended. Fees for completed work are non-refundable upon termination for cause.

12. Indemnification

You agree to indemnify, defend, and hold harmless Entryly Solutions LLC, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including Stripe's or a government agency's policies; or (d) inaccurate or fraudulent information you provided to Entryly.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be attempted to be resolved by good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules. Arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding. Class action lawsuits and class-wide arbitration are expressly waived to the fullest extent permitted by law.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

14. Modifications to Terms

Entryly reserves the right to update these Terms at any time. Material changes will be communicated via email and/or prominent notice on the Site at least 14 days before taking effect. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.

15. Severability & Entire Agreement

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

These Terms, together with our Privacy Policy, Refund Policy, and KYC & AML Policy, constitute the entire agreement between you and Entryly regarding the Services and supersede all prior agreements, representations, or understandings.
